These Terms of Service ("Terms") govern access to and use of the Monveri platform and related services provided by Monveri LLC ("Monveri," "we," "our," or "us"). By accessing or using the platform, you agree to be bound by these Terms, our Privacy Policy, and any other policies incorporated herein by reference.
If you do not agree with these Terms, you may not access or use the Services. If you are using the Services on behalf of a business, you represent that you have the authority to bind that business to these Terms.
Monveri provides cloud-based business management software including but not limited to point of sale functionality, inventory management, reporting tools, operational analytics, and related services (collectively, the "Services").
The Services are available under tiered plans, including a free tier with limited features. Paid plans unlock additional functionality as described on our pricing page. Monveri reserves the right to modify, add, or discontinue features of any plan at any time, with reasonable notice to affected users where practical.
To access certain Services, you must create an account. You agree to:
Monveri reserves the right to suspend or terminate accounts where information provided is found to be inaccurate, incomplete, or fraudulent.
Monveri offers a Pay As You Go tier that provides access to a limited set of features at no monthly subscription cost. The following terms apply to Pay As You Go accounts:
Certain Services require payment of subscription fees. By selecting a paid plan, you agree to the following:
Monveri offers refunds under the following conditions:
Instant payout functionality is available across all account tiers and is exclusively supported through Stripe. Instant payouts are processed through Monveri and are not available via PayPal, Venmo, Cash App, or any other third-party payment method. A 0.5% platform fee is applied to the payout amount and is automatically deducted at the time of the payout. This fee is separate from any subscription fees and applies regardless of plan level.
If you initiate a chargeback or payment dispute with your bank or payment processor on any subscription fee, platform fee, or other service fee charged by Monveri, the following applies:

Failure to pay applicable fees may result in suspension or termination of your account. Monveri will make reasonable efforts to notify you of a failed or overdue payment. If payment is not received within 7 days of the due date, Monveri reserves the right to suspend access to the Services until the outstanding balance is settled. Continued non-payment following suspension may result in permanent termination of your account.
You agree to use the Services only for lawful purposes and in accordance with these Terms. The following are strictly prohibited:
Monveri reserves the right to investigate and take appropriate action against any violations, including suspension or termination of the offending account.
All software, technology, design, trademarks, logos, and materials associated with the Monveri platform remain the exclusive intellectual property of Monveri LLC. Nothing in these Terms grants you any ownership interest in the platform or its underlying technology.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the platform solely for your internal business purposes during the term of your active subscription. This license does not permit you to copy, modify, distribute, sell, or create derivative works based on the platform or any of its components.
Businesses retain full ownership of their operational data entered into the Monveri platform. Monveri may access such data only as necessary to provide, maintain, and support the Services, or as required by law.
If your account is suspended due to non-payment, the following timeline applies:
If you voluntarily cancel your account, you will retain access to your data for 90 days from the date of cancellation. During this period, you may export your data or reactivate your account and pick up exactly where you left off with no loss of data. After 90 days, all data will be permanently deleted with no possibility of recovery.
Monveri strongly recommends exporting your data promptly upon suspension or cancellation. We are not responsible for any loss of data resulting from failure to act within the applicable window.
Monveri strives to provide reliable and uninterrupted access to the Services. However, the Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:
Monveri does not warrant that any defects or errors will be corrected, or that the platform will meet your specific business requirements. Your use of the Services is at your sole risk.
To the maximum extent permitted by applicable law, Monveri LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
Monveri's total cumulative liability to you for any claims arising under or related to these Terms shall not exceed the total fees paid by you to Monveri in the ninety (90) days immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, Monveri's liability shall be limited to the fullest extent permitted by applicable law.
You agree to defend, indemnify, and hold harmless Monveri LLC, its owners, officers, directors, employees, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
Monveri reserves the right to assume exclusive control of the defense of any matter subject to indemnification. You agree to cooperate fully with Monveri in such defense.
Monveri may suspend or terminate your account and access to the Services at any time, with or without notice, for any of the following reasons:
Monveri maintains a zero-tolerance policy for illegal activity conducted through the platform. If an account is found to be engaged in, facilitating, or supporting any activity that violates applicable local, state, federal, or international law, Monveri reserves the right to immediately and permanently terminate the account without notice. Terminated accounts will not be eligible for reactivation under any circumstances, and no refund of any fees paid will be issued.
Upon termination for illegal use, Monveri may report relevant account records, transaction data, and associated information to the appropriate law enforcement or regulatory authorities. Monveri may also cooperate with payment processors if requested to do so in connection with any investigation.
You agree to use the Services and your account only for lawful purposes and acknowledge that any breach of this obligation constitutes a material violation of these Terms.
In the event that illegal use of the platform results in any damages, losses, costs, fines, penalties, legal fees, or other expenses incurred by Monveri LLC, Monveri reserves the right to pursue full recovery of all such damages from the responsible party to the maximum extent permitted by applicable law. This includes but is not limited to:
If illegal use of the platform involves the use of stolen, fraudulent, or unauthorized payment credentials — including but not limited to stolen credit cards or compromised payment accounts — the account holder will be held fully responsible for:
Monveri reserves the right to pursue full recovery of all such amounts through civil legal action, in addition to reporting the activity to the appropriate law enforcement authorities. This liability survives the termination of the account and cannot be discharged by closing or abandoning the account.
Monveri's right to pursue damages under this section is in addition to, and does not limit, any other rights or remedies available under these Terms, applicable law, or equity, including the right to seek injunctive relief.
You may discontinue use of the Services and close your account at any time. Upon termination, your right to access the platform ceases immediately. Provisions of these Terms that by their nature should survive termination — including data ownership, intellectual property, limitation of liability, indemnification, and dispute resolution — shall survive.
Monveri reserves the right to update or modify these Terms at any time. When changes are made:
If you do not agree to the updated Terms, you must stop using the Services before the effective date of the changes.
Monveri encourages resolution of any disputes informally before pursuing formal proceedings. The following process applies:
Before initiating any formal dispute, you agree to contact Monveri at privacy@monveri.co with a written description of the dispute and your proposed resolution. Monveri will make a good faith effort to resolve the issue within 30 days of receipt.
If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered in Mecklenburg County, North Carolina, in accordance with applicable arbitration rules. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm, including but not limited to unauthorized use of intellectual property or breach of confidentiality obligations.
You agree that any dispute resolution proceedings will be conducted on an individual basis only and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Monveri.
These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law principles. Any legal proceedings not subject to arbitration under Section 14 shall be brought exclusively in the state or federal courts located in Mecklenburg County, North Carolina. Each party consents to personal jurisdiction in such courts and waives any objection to venue therein.
If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.
These Terms, together with the Privacy Policy and any other policies or agreements incorporated by reference, constitute the entire agreement between you and Monveri LLC with respect to the Services and supersede all prior or contemporaneous understandings, representations, or agreements, whether written or oral, relating to the same subject matter.
Monveri offers optional integrations that let you, the seller, connect your own accounts on third-party marketplaces such as Etsy, Amazon, eBay, Shopify, and similar platforms, so that listings, inventory, and orders from those marketplaces can be synchronized with your Monveri account. The provisions in this Section 17 apply whenever you use any such integration. Where an integration has additional platform-specific terms (such as the Etsy-specific provisions in Section 17.2 below), those terms also apply.
The following additional terms apply specifically when you use the Etsy integration within Monveri.
Etsy Trademark Disclaimer. The term "Etsy" is a trademark of Etsy, Inc. This Application uses Etsy's API, but is not endorsed or certified by Etsy.
Warranty Disclaimer (required by Etsy).
DISCLAIMER: THIS APPLICATION IS SOLELY PROVIDED BY MONVERI LLC (THE "APPLICATION DEVELOPER"). YOU ACKNOWLEDGE THAT ETSY, INC. AND ITS AFFILIATES ARE NOT THE APPLICATION DEVELOPER, DO NOT PROVIDE THE APPLICATION SERVICE, AND MAKE NO WARRANTIES OF ANY KIND WITH RESPECT TO THE APPLICATION OR DATA ACCESSED THROUGH IT.
Your Responsibilities as an Etsy Seller. When using the Etsy integration, you acknowledge and agree that:
Data Handling. Etsy listing content accessed through the integration is refreshed and displayed within the refresh windows required by Etsy (no more than 6 hours older than Etsy for listing content, and no more than 24 hours older for other Etsy content). Etsy data is cached only as long as reasonably necessary to provide the service and is deleted upon disconnection. See the Privacy Policy for additional details.
Data Breach Notification. If Monveri becomes aware of any compromise or suspected compromise of Etsy member data obtained through the integration, Monveri will notify Etsy and the affected seller as soon as reasonably possible and in no event later than 24 hours after discovery.
Support. Questions about the Etsy integration, including requests to disconnect or to report a problem, should be directed to support@monveri.co.
